What is said × what the documents show

The version in circulation
What the sourcing found
The version in circulation
What the sourcing found

• The date 2009 carries media confidence: acordo fora do tribunal, confidencial: o Facebook o reconhece como cofundador

“During the 2003-2004 school year, while a student at Harvard University, Saverin became one of the founders of thefacebook. As a student majoring in Economics who had not taken any Computer Science courses, Saverin focused on the business side of thefacebook. Saverin was never involved in the coding of thefacebook.”

“Six months after thefacebook.com launched, as the summer of 2004 began, Zuckerberg and Moskovitz moved to Palo Alto, California where they planned to work on TheFacebook.com in a rented house. Saverin went to New York for an internship at Lehman Brothers.”
  14. T2 reviewed
“he asked Saverin to work on three things: "to set up the company, get funding, and make a business model."”

“You developed Joboozle knowing that at some point Facebook would probably want to do something with jobs. This was pretty surprising to us, because you basically made something on the side that will end up competing with Facebook and that's pretty bad by itself. But putting ads up on Facebook to advertise it, especially for free, is just mean.”

“His plan: Reduce Saverin's stake in TheFacebook.com by creating a new company, a Delaware corporation, to acquire the old company (the Florida LLC formed in April), and then distribute new shares in the new company to everybody but Saverin.”
  21. T2 reviewed
“Confidant : How are you going to get around Eduardo? Zuckerberg : I'm going to buy the LLC Zuckerberg : And then give him less shares in the company that bought it Confidant : I'm not sure it's worth a potential lawsuit just to redistribute shares. You have nothing to gain. Zuckerberg : No I do because until I do this I need to run everything by Eduardo. After this I have control”

“"Eduardo is refusing to co-operate at all…We basically now need to sign over our intellectual property to a new company and just take the lawsuit…I'm just going to cut him out and then settle with him. And he'll get something I'm sure, but he deserves something…He has to sign stuff for investments and he's lagging and I can't take the lag."”

“Is there a way to do this without making it painfully apparent to him that he's being diluted to 10%?"”
  24. T2 reviewed
“As Eduardo is the only shareholder being diluted by the grants issuances there is substantial risk that he may claim the issuances, especially the ones to Dustin and Mark, but also to Sean, are a breach of fiduciary duty later on if not now.”

“On January 7, 2005, Zuckerberg caused Facebook to issue 9 million shares of common stock in the new company. He took 3.3. million shares for himself and gave 2 million to Sean Parker and 2 million to Dustin Moskovitz. This share issuance instantly diluted Saverin's stake in the company from ~24% to below 10%.”

“The parties agreed that Zuckerberg would serve as CEO and run the technical side of the business—designing and running the website, creating new web content, and building and maintaining hardware to operate the site—and Saverin would serve as CFO and take care of the finance aspects of the business. Zuckerberg and Saverin also agreed to divide the ownership rights as follows: 67% held by Zuckerberg and 33% by Saverin”

“causing the Facebook to issue millions of additional common shares to himself end others, thereby increasing their ownership interests and diluting Saverin”
  41. T1 primary

“On or about October 30, 2004, Zuckerberg provided Ssverin a schedule which showed what the ownership interests would be in the new Company. In addition, a fourth Individual, Sean Parker (“Parker”), who had joined the business sometime earlier without Seve”
  43. T1 primary
“The Apnil 4, 2005 “Action by Written Consent of the Stockholders of TheFacebook, Inc.” purported to approve the Company's prior issuance of approximately 3,300,000 additional shares of common stock to Zuckerberg; 2,000,000 additiona] shares to Moskovitz; and over 2,000,000 additional shares to Parker.”

“Facebook went from officially denying Saverin's status as a cofounder to listing him as one on its Web site. As a part of the settlement, Saverin stopped talking to the press.”
  51. T2 reviewed
“the Facebook cofounder who initially financed the company and later sued it for a settlement that left him with shares worth a reported $1.1 billion dollars”
  52. T2 reviewed
“he still owns about 5 percent of Facebook, which will probably end up making him the most accidental billionaire of all.”
  53. T2 reviewed
“Saverin's stake is about 4 percent, according to the website Who Owns Facebook. At the high end of the IPO valuation, that would be worth about $3.84 billion. His holdings aren't listed in Facebook's regulatory filings.”

“Saverin sued him and settled for an undisclosed amount. The 2010 movie "The Social Network" added to Saverin's fame after it portrayed him as a scorned friend who provided the company's early financing and then was squeezed out.”
  55. T2 reviewed carries the thesis
“The book draws heavily on interviews that Mezrich conducted with Eduardo Saverin, Facebook’s initial business manager, who had a falling out with Zuckerberg and sued him. Mezrich did not talk to Zuckerberg. (The producer of “The Social Network,” Scott Rudin, tried to talk to Zuckerberg and other Facebook executives, but he was rebuffed.)”
  56. T2 reviewed
Reportagens apontavam Saverin como a fonte principal do livro de Mezrich
“reports indicate that he was actually the key source for Ben Mezrich's book The Accidental Billionaires , which the movie was based on.”
  57. T3 tertiary
“Ben Mezrich's mostly-fictional book the Accidental Billionaires and, now, the movie The Social Network”

“David Kirkpatrick's more-accurate The Facebook Effect”

“After all, the movie was clearly intended to be entertainment and not a fact-based documentary.”

“Mark Zuckerberg successfully developed an entirely new world for daily interactions.”

“Because of its source material, it makes Saverin into more of a victim than he really was.”
  62. T2 reviewed
“Zuckerberg says that many of the details he has read about the film are just wrong. (He had, for example, no interest in joining any of the final clubs.) When pressed about the movie and what it means for his public persona, he responded coolly: “I know the real story.””
  63. T2 reviewed
“Zuckerberg, Facebook, and Saverin declined interview requests for this story, but we can infer some of Zuckerberg's thinking from instant messages he wrote during the time.”

“Today, the New Yorker quoted two of them in a profile of Zuckerberg . Jose Antonio Vargas, who wrote the profile, says he's also "obtained and confirmed" the IMs.”

“Saverin is invited to the company's new headquarters in San Francisco on the pretense of attending a business meeting and "millionth user party," but is enraged when he discovers that the new investment deal dilutes his share of Facebook from 34% to 0.03%, without diluting the ownership percentage of any other owner.”

“Sen. Chuck Schumer, D-N.Y., said Sen. Bob Casey, D-Pa. , have called Saverin's move an "outrage." Their proposed legislation calls for re-imposing a 30 percent tax on capital gains on expatriates like Saverin who take up residence in a foreign country.”

It is a bill that makes sure that people that renounce their citizenship for tax purposes do not escape what they owe and cannot come back without repaying all that they avoided paying this great country.”

How this sourcing was done

The script for this video was written from this record and only from it. Nothing absent here is said in the video — not a date, not a name. Before becoming a script, the record passes three automatic checks: whether each quotation really exists in the collected material, whether each date is confirmed to the precision claimed, and whether the claim carrying the video comes from a primary source or from peer-reviewed literature — not from an encyclopaedia.

T1 primary primary record: official archive, original paper with a DOI, patent, period newspaper. T2 reviewed reviewed literature: book, academic article, structured database. T3 tertiary encyclopaedia — cited by the exact revision consulted, because the page changes and the revision does not.

Found an error? Point it out in the video comments, with the claim and the source. A public correction is worth more to this channel than a quiet fix — and the video, once published, cannot be edited. This page can: when something changes, it is updated and the date below changes with it.
